MUTUAL NON-DISCLOSURE AGREEMENT

1. Definitions
1.1 "Confidential Information" means any non-public information disclosed by either party, whether written, oral, or in any other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

2.1 The Receiving Party shall hold all Confidential Information in strict confidence, using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
